PREAMBLE TO THE CONSTITUTION OF THE BORN BIKERS MOTORCYCLE CLUB
The purpose in the organization and operation of the Born Bikers Motorcycle Club is to promote a safe and effective means of group riding and conduct that will enhance the image of the motorcycle rider and encourage others to participate in the sport. The Club will actively promote a common bond of friendship in Club members. It is our endeavor to enjoy a free spirit of operation while remaining safe for people and environment.
This club shall be known as the ‘Born Bikers’ Motorcycle Club.
Active members shall be riders of motorcycles, persons actively concerned with the trade, or motorcycle enthusiasts. Honorary members shall be any other persons as the Club may decide by a two-thirds vote of those members present at any regular meeting as to the honor. Only active members in good standing shall be entitled to vote in Club affairs or to win any appointments of Club.
Independent Legal Personality:
- The Club is formed with the intention that this Constitution and by its objects and its activities it shall be a body corporate or “universitas” having separate legal “persons” with perpetual succession, and with the capacity to acquire and hold property for itself and apart from its Members and the individual members shall have no right in or to any property or other assets of the Club.
- The property and other assets of the Club shall vest in the Club, which shall hold such assets for itself as distinct from its individual Members and the individual Members shall have no right in or to any property or other assets of the Club.
- Any obligation incurred by or for or on behalf of the Club shall be incurred for the Club itself and to the exclusion of the individual Members.
- Under no circumstances shall the assets of the Club or any part thereof be distributed to Members in the form of a dividend or a share cut of profits or remaining funds and in the event of the Club being dissolved, the assets shall be handed over to such a body as the Committee may decide.
- The Club may sue or be sued in its own name and the right of decision to sue or to defend any suit shall vest in the Committee of the Club.
He officers of the club shall be a President, Vice President, Secretary, Treasurer, and Road Captain. These officers shall constitute the Executive Committee. The executive committee is responsible for:
- The monitoring of conflicts within the Club.
- The everyday functioning of the Club.
- The application of disciplinary procedures.
- The evaluation of prospects and their progress.
- The presentation of summarized assessments of the overall Club situation to the membership.
The duties of the president shall be:
- To preside at all meetings of the Club.
- To plan all Club tours, runs, activities, etc.
- To lead the Club in formation riding or parades.
- To have general supervision of the affairs of the Club.
- To appoint any person or committee not otherwise ordered by the Club.
- To personally represent the Club on proper occasions and in business contracts.
- To assist all other officers of the Club in their records, correspondence, and other duties.
- To promote interest on the part of each member in Club life and activities.
- To vote only when necessary to break a tie.
The duties of the Vice President shall be to perform the duties of the President in his absence.
The duties of the Secretary shall be:
- To keep a record of the meetings of the Club.
- To send out notices of regular or special meetings.
- To handle all Club correspondence.
- The Secretary shall be responsible for notifying all Members of impending meetings.
- The Secretary shall keep accurate record of the residential/business address of every Member.
- To perform such other duties as generally fall to the office.
The duties of the Treasurer shall be:
- To collect dues from all members and issue receipts.
- To collect all other due monies of the Club.
- To maintain records on status of various Club accounts, to render reports at Club business meetings.
- To ensure that the club accounts are properly maintained and regularly audited.
The duties of the Road Captain shall be:
- To promote interest in activities.
- To assist in handling Club socials, parties and other functions.
- To enforce all rules of group riding.
- To select assistants to aid in special tasks.
- To maintain a complete record of and to act as custodian of all Club property.
The duties of the Executive Board shall be:
- To have general control, over all Club affairs.
- To make final decisions upon member expulsions.
- To act for the club in all matters ordered by the Club.
- To properly investigate and present to the Club all business or important activity situations.
All elective offices shall be filled at an annual election to be held on the first Sunday of June, of each year and all officers shall hold office for one year or until their successors are elected. However the seven founding Club members (known from here on as the ‘Original Seven’) will maintain their title for life and shell stand irreplaceable. The names of the ‘Original Seven’ are as follows.

The regular meetings of the Club shall be held the first Sunday of each month unless otherwise announced. The President or Executive Committee may call a special meeting at any time by advance notice.
A minimum of four (4) of the Club officers present for regular meetings shall constitute a quorum for transaction of Club business.
Special general meetings:
- Upon resolution of the Committee or on the written request of not less than 10% of the Club Members, the Secretary shall within 14 days convene a Special General Meeting. Only the business for which such a meeting has been called, shall be discussed. Members calling for this special general meeting shall do so in writing to the Secretary, stating the business to be dealt with. The applicant who signs the application must be in good financial standing with the Club. Such Special General Meeting must be held within 30 days of the application being made.
- Notwithstanding anything contained in this constitution, if at any meeting called in accordance with the constitution, and no quorum be present, the presiding officer shall after an interval of thirty (30) minutes adjourned once. Any number of Members will constitute a quorum for the purpose of conducting the business of the previously adjourned meeting, provided that the due notice of such adjourned meeting has been given to all Members.
The constitution may be amended or added to, providing the proposed amendment is submitted in writing at a regular meeting. It shall then be advertised for four (4) weeks and voted on at the next general meeting. A two-thirds vote of all active members in good standing shall be required to pass an amendment.
BYLAWS BORN BIKERS MOTORCYCLE CLUB
The rules of the Club will be strictly enforced. If anyone breaks them, executive board will deal with them. If these rules and regulations are broken, it could mean either immediate dismissal or suspension, whatever the executive board sees fit.
a. The Executive Committee shall consist of a maximum of five (5) Members, herein referred to as the Committee, including the President, Vice-President, Secretary, Treasurer, Road Captain. Four (4) Members shall form a quorum.
b. The abovementioned officials shall be elected at the Annual General Meeting. Retiring officials shall be eligible for re-election.
c. The Committee shall have the power to appoint assistants and any other officials as the activities of the Club may demand.
d. The Committee shall have such powers and authorities as are allowed in law and shall be entitled, on behalf of the Club, to do any act of which a natural person is capable except such acts as are expressly prohibited in terms of this Constitution.
e. The Committee is empowered to reject any resolution put forward from a General Meeting twice in succession. On the third presentation however, providing that seventy five percent (75%) of the Members present at the General Meeting immediately preceding the third presentation voted in favour of the resolution being passed, the Committee must pass the aforementioned resolution providing that the matter under discussion does not pertain to matters affecting the Constitution.
f. Disputes regarding the interpretation of the Constitution or any other matter which may arise shall be referred to the Committee in writing for consideration and its decision shall be final and binding on all Members unless otherwise decided at a General Meeting.
g. All changes in the Constitution to be effective from the date of the Annual General Meeting or Special General Meeting at which adopted.
h. The Committee must examine any complaints or suggestions submitted to it in writing through the Secretary at the first Committee Meeting after receipt.
j. The Secretary shall be responsible for the proper recording of all business transacted at Committee, General and Annual General Meetings and for all correspondence received or dispatched.
k. Any Committee Member absent from more than three (3) consecutive meetings without leave shall have his or her seat declared vacant and the Committee shall elect a Member to fill the vacancy.
l. In the event of a written resignation of a Committee Member his or her place may be filled by another Member of the Club elected by the Committee.
m. The Secretary and the Treasurer may be granted petty cash to carry on the business of the Club between Committee Meeting. Such cash to be accounted for to the Committee at each monthly meeting.
n. All monies shall be handled by the Treasurer who will be responsible for its safe custody until banked. All monies disbursed shall be accounted for to the Committee which had previously authorized its disbursement.
o. The Treasurer shall at each Annual General Meeting present to Members a Balance Sheet together with Expenditure and Revenue Statement prepared at the close of each financial year. Financial year to mean each completed twelve (12) months from 1st July to 30th June.
p. No Club Member who is not in good financial standing with the Club shall hold office or participate in organized Club events.
q. The headquarters of the Club will be at Islamabad at the Clubhouse or unless we have to vacate the Clubhouse then at an address to be decided from time to time.
r. Proper records, including a register of Members, shall be kept by the Club.
Applications for membership must be recommended by one member of the Club in good standing. Upon payment of dues, the applicant will be placed on probation for a period of three months. The new applicant will have his/her motorcycle(s) checked by the Road Captain for serviceability and will demonstrate his ability to ride in group formations. Upon completion of probationary period and meeting these qualifications, he may become a full member and entitled to all the privileges of the Club.ub.
A member may be expelled for conduct unbecoming a member of the Club, but charges must first be made in writing and the accused member given a hearing before the 3 member Discipline Subcommittee. The 3 member Discipline Subcommittee will be nominated out of the members of Executive Committee, by the president. The Subcommittee shall take evidence and report its findings to the President with the recommendation that the charges be considered proven and the accused member be expelled, or that the charges not be considered proven and the accused member to remain a member of the Club. The Executive Committee shall then take a vote to decide whether or not the recommendation of the Discipline Subcommittee shall be adopted. It will require a two-thirds vote of at least seven (7) good standing members present to veto the recommendation of the Executive Committee.
Robert’s Rules of Order shall govern the parliamentary proceedings of this Club unless otherwise provided in the bylaws. The order of business shall be:
a. Roll call and or record of attendance in the minutes.
b. Reading of minutes of previous meeting by the Club secretary.
c. Report by the concerned officers.
d. Unfinished businesses.
e. New businesses.
Only active members in good standing shall be eligible to hold office in the Club.
a. Nominations for Club officers will be proposed in advance of elections and announced. Declination by nominees will be so indicated or announced prior to voting. Nominations will be made only by members in good standing. All elective offices shall be filled at an annual election to be held on the first Sunday of June each year. Officers shall hold offices for one year or until their successors are elected and qualified.
b. Voting during Club elections will be made by show of hands by each members of good standing present. Election Subcommittee will supervise the procedure and make the results known.
a. Everyone must have a bike. Consideration will be give to any member who is in between bikes but he must sincerely intend to get another bike in the near future.
b. All members have a right to debate any action, direction or policy before an election/decision. Once a decision is reached by consensus or voting, no member will express decent any more or go against it.
c. Members and prospects will attend Club events, whatever they might be. Members must have a good reason for non attendance.
d. Members will not get together at their own and plan a ride for themselves. It will first be brought up to the whole Club and the whole Club may participate.
e. If a patch holder or prospect throws his colors or quits, colors stand confiscated.
f. If you don’t help out the Club in its activities and you use the Club solely for your benefit, you will be warned. No second chance.
g. If a group or individual attacks any member, the whole Club shall stand behind that member and fight if necessary.
h. Failure to pay his dues according to the section dealing with the paying of dues.
i. No use of drugs in any form. Anyone using a needle for any reason other than having a doctor use it on you will be considered misuse.
j. If any brother gets hooked on any drug that is dangerous to the Club he will be helped first. Then he will be dealt by the executive board.
k. There will be no stealing amongst members. Anyone caught will be kicked out of the Club.
l. No member will disgrace the Club by being a coward.
m. No member will purposely destroy Club property.
n. All Born Bikers MC member fines will be paid within 30 days. Fines will be paid to the treasurer.
o. Where we go on our rides will be voted upon by the entire membership.
p. Each patch holder/prospect is required to maintain a valid motor vehicle license.
The following rules apply for membership and qualifications of Prospects:-
a. Prospects must be at least 18 years old.
b. Prospects must have a motorcycle with at least a 250cc capacity, preferably bigger.
c. Prospects must show a sincere interest in Born Bikers MC, its members, and in motorbikes.
d. A prospect must be sponsored by at least one member who has known him/her for one year or longer.
e. Sponsor is responsible for prospect’s behavior at all times.
f. Sponsor can pull a prospect’s sponsorship at his discretion.
g. Prospect must attend all meetings and Club functions.
h. Prospect will place himself respectfully behind Club members.
i. Prospect must ride his/her bike to meeting at time of being voted into Club.
j. Prospect must pay that day the dues for his colors before receiving them.
k. Prospect fee will be as decided by the Executive committee, from time to time. This amount is not refundable.
l. Prospect members must be voted in. Two ‘no’ votes of Executive Committee equal a rejection. One ‘no’ vote must be explained.
m. Prospective member’s prospecting period is three months. Executive committee shall decide when vote is necessary.
n. Every patch holder (Executive Committee member) must vote YES for prospect to make center patch. Vote must be unanimous.
o. Only the sponsor or a committee member may hand out a patch to a prospect. This will be done at a meeting with only patch holders present.
The Club dues shall be Rs.500 per month for active members, payable at regular meetings in the months of January and July. Semi-annual or annual mode of payment is desired. However, a new applicant may pay on a prorated basis until a regular renewal month occurs. Initial enrollment will include a fee for a Club insignia. Dues shall be paid not later than the 15th of the month following the due date. Any member two(2) months or more behind in his dues shall be considered not in good standing and not entitled to vote at Club meetings.
All bills must be checked and approved by the Executive Board before they are paid. All checks should be signed by the President and the Treasurer. Transactions in cash will be covered by numbered receipts.
Any member who has been advised he is delinquent and behind in his dues for sixty (60) days may be expelled from the Club by a two-thirds vote of Executive Committee at any regular Club meeting.
Changes in the bylaws will be made following the annual election of the Club officers, or upon written recommendation of the Executive Committee with two-thirds of the active membership in good standing approving. Advance notice of proposed changes will be announced to the membership in the Club and voted on at the next regular meeting.
Funds will be accounted for by the Treasurer or Club Secretary in absence of the Treasurer. An account statement will be presented in writing for review of the membership as and when desired. The Treasurer will be bonded with the fee paid by the Club. Listings of dues, accounts receivable, or funds due the Club will be shown to the President and Executive Committee on the monthly statement to include members delinquent in dues payment for a period of sixty (60) days.
